Food Business Bootcamp Terms & Conditions

The following Terms and Conditions are entered into by and between You (“Participant” or “You”) and Hudson Kitchen, LLC (“Hudson Kitchen”, “we”, or “us”). These Terms govern participation in the 2026 FOOD BUSINESS BOOTCAMP® (the “Program”). 

PROGRAM DESCRIPTION
The Program is an 8-week hybrid educational program including:

  • In-person kickoff session

  • Weekly virtual instructional sessions

  • Saturday hands-on kitchen sessions

  • One brand consultation day

  • Recipe development and scaling sessions

  • Demo Day presentation

Participation requires adherence to all Hudson Kitchen policies, including the Facilities Use Agreement, Policies & Procedures Manual, SSOPs, and the Fee Schedule. 

FEES & PAYMENT TERMS
Tuition for the Program is $4,995.

 A payment plan is available as follows:

  • Two payments of $2,500

  • First payment due immediately upon enrollment

  • Second payment due no later than January 23, 2025

Participant authorizes Hudson Kitchen to charge the payment method provided. Participant remains responsible for completing all payments.

NO REFUNDS
All sales are final. No refunds will be issued under any circumstances, including illness, scheduling conflicts, missed sessions, or inability to complete the Program.

PROGRAM INCLUSIONS
Hudson Kitchen will provide:

  • Access to instructional materials and Program content

  • Participation in scheduled virtual and in-person sessions

  • Access to kitchen facilities during designated Program sessions only

  • Feedback from instructors and staff

 PROGRAM EXCLUSIONS
The following are NOT included:

  • Participant ingredients and supplies for kitchen work

  • Food safety certification

  • Business registration fees

  • Optional consultations with third-party experts

ATTENDANCE REQUIREMENTS
Active participation is expected. Missing multiple sessions may limit readiness for Demo Day. No refunds will be issued for missed sessions.

RELATIONSHIP OF THE PARTIES
Participation does not create a partnership, joint venture, employment, or agency relationship. Program content is educational only. 

KITCHEN SAFETY, POLICIES & LIABILITY
Participants must:

  • Follow all Hudson Kitchen safety rules, policies, SSOPs, and instructions

  • Maintain a valid ServSafe Manager or equivalent certification

  • Use kitchen facilities only during scheduled Program sessions

  • Comply with equipment-use requirements

 Participant assumes all risk associated with kitchen activities.

INTELLECTUAL PROPERTY
All Hudson Kitchen Program materials are protected intellectual property. Participant receives a single-use, non-transferable license for personal use only. Participants retain full ownership of their own recipes, brands, and product concepts. 

CONFIDENTIALITY
Participant agrees to protect the confidentiality of Program content and information shared by other participants.

MEDIA RELEASE
Participant grants Hudson Kitchen irrevocable permission to capture and publish photos, videos, audio, and product images taken during the Program for marketing, educational, and promotional use without compensation.

PHOTOGRAPHY DELIVERABLES (STARVING ARTIST STUDIOS)
Participants receive 3–4 professionally shot product photos.
License:
Participants may use these photos for social media, websites, pitch decks, sales materials, and promotional use.

Restrictions:

  • Photos may not be resold or transferred for commercial resale.

  • Copyright remains with Starving Artist Studios.

DESIGN DELIVERABLES (HUSTLE & FLOW CREATIVE)
Participants may receive conceptual brand design deliverables under a limited Pre-Launch License.

Pre-Launch License Scope:

  • Use for investor decks, fundraising, internal stakeholder presentations

  • Early brand previews, social teasers, or other non-commercial brand-building

 Ownership & Restrictions:

  • Hustle & Flow retains full ownership of all design materials.

  • Files provided are not production-ready.

  • Designs may not be altered, resold, redistributed, or used commercially prior to buyout or finalization.

Post-Bootcamp Options:

Route 1 — Finalize with Hustle & Flow: Participants may continue with the designer for refinement and creation of production-ready artwork at discounted student rates.

Route 2 — Full Buyout to Use Another Designer: Participants may purchase a full rights buyout at discounted student rates before continuing with another designer.

No Commercial Use Without Buyout: Participants may not print, distribute, sell, or commercially promote using these designs until fulfilling one of the above options.

INSTRUCTOR & CREATIVE PARTNER LIABILITY
All instructors, consultants, photographers, designers, and creative partners are independent contractors. They are not liable for Participant business outcomes or results. All decisions based on Program content remain the responsibility of the Participant.

KITCHEN USE LIABILITY – INSTRUCTORS
When instructors or creative partners are present during kitchen sessions, their role is educational only. They are not responsible for food safety errors, equipment misuse, injuries, contamination, or operational workflow decisions.

NO WARRANTIES
The Program is provided “as is” without guarantee of results.

LIMITATION OF LIABILITY
Hudson Kitchen is not liable for damages arising from Program participation, use of information, or kitchen activities.

INDEMNIFICATION
Participant agrees to indemnify and hold Hudson Kitchen harmless from claims arising from their actions or misuse of facilities. 

TERMINATION
Hudson Kitchen may terminate participation if guidelines are violated. No refunds will be issued.

OPTIONAL MEMBERSHIP
Participants may apply for Hudson Kitchen membership post-program. Membership is not guaranteed.

ARBITRATION & GOVERNING LAW
All disputes shall be resolved through binding arbitration in New Jersey under New Jersey law.

SEVERABILITY
If any provision is unenforceable, remaining provisions remain effective.

ENTIRE AGREEMENT
These Terms, together with all referenced Hudson Kitchen policies, constitute the entire agreement.

EFFECTIVE DATE
These Terms become effective upon registration.
